1. Overview & Acceptance of Terms

Welcome to Wizhy Web Studio (WWS) ("we," "our," "us"). By accessing our website (web.wizhy.in), engaging our bespoke web design, custom development, technical SEO, and digital consulting services, or making payments through our authorized gateway (Razorpay), you ("Client," "User," or "You") agree to be legally bound by these Terms & Conditions.

If you do not agree with any portion of these Terms, you must immediately discontinue using our services and website.

2. Scope of Services & Project Sprints

Wizhy Web Studio provides custom digital design, website engineering, technical search engine optimization, Core Web Vitals optimization, and ongoing maintenance retainers.

  • Custom Proposals & SOWs: Each commercial engagement is defined by an agreed written Statement of Work (SOW), project quote, or sprint agreement detailing deliverables, timeline milestones, and fee schedules.
  • Illustrative Audits: Any instant, automated online website audit reports provided via our lead-generation tools are illustrative estimations intended to demonstrate preliminary digital hygiene and do not replace a full manual diagnostic sprint.
  • Revision Sprints: Standard project packages include dedicated revision rounds during the design and staging review phases prior to final production release.

3. Payments, Invoicing & Gateway Compliance

All financial transactions for Wizhy Web Studio engagements are processed securely in accordance with Indian financial and tax regulations.

  • Payment Gateway: We use Razorpay as our authorized, RBI-compliant payment gateway supporting UPI, Net Banking, Credit/Debit Cards, and Corporate Netbanking. All transactions are encrypted via 256-bit SSL.
  • Advance Retainers & Milestones: Unless otherwise specified in the SOW, custom development projects require a non-refundable project sprint advance / retainer to lock engineering calendar capacity before work commences. Subsequent payments are billed upon milestone deliverables.
  • Taxes & Invoicing: All applicable taxes (including Goods and Services Tax - GST) will be itemized on official tax invoices issued upon receipt of payment.

Payment & Non-Refundability Summary

Due to the customized nature of engineering hours and creative intellectual labor deployed for each client, advance fees and completed milestone sprint payments are non-refundable once work has commenced. Please review our detailed Cancellation & Refund Policy.

4. Intellectual Property & Ownership

We believe in complete transparency regarding digital assets and source code ownership:

  • Client Ownership: Upon full and final settlement of all agreed invoice fees for a project, complete ownership of the final custom website source code, design assets, and production deliverables transfers exclusively to the Client.
  • Third-Party Components: Open-source libraries (e.g. React, Vanilla JS utilities, WordPress core/plugins, Google Fonts) remain subject to their respective open-source licenses (MIT, Apache, GPL).
  • Portfolio Rights: Wizhy Web Studio retains the right to display completed project screenshots, design case studies, and ranking results in our marketing portfolio unless explicitly restricted by an executed Non-Disclosure Agreement (NDA).

5. Client Obligations & Timelines

To ensure on-time delivery (e.g., our standard 5–14 business day sprint timelines), the Client agrees to:

  • Provide required brand assets, high-resolution media, access credentials (domain registrar, hosting, search console), and feedback in a timely manner.
  • Consolidate revision requests into clear, actionable batches within the agreed staging review window.
  • Delays caused by prolonged client response dormancy (exceeding 14 business days) may result in sprint rescheduling.

6. Limitation of Liability & Search Rankings

While Wizhy Web Studio employs industry-standard best practices for SEO, Core Web Vitals, semantic markup, and conversion architecture, search engine algorithms (including Google Search) are operated independently by third parties.

Wizhy Web Studio does not guarantee specific organic position placements or revenue targets. Under no circumstances shall Wizhy Web Studio be liable for indirect, incidental, or consequential damages arising from website downtime, hosting outages, algorithmic updates, or third-party API disruptions. Total aggregate liability shall never exceed the total fees paid by the Client for the specific service in dispute.

7. Project Suspension & Termination

Either party may terminate an ongoing project agreement with written notice if the other party breaches any material term and fails to cure such breach within 10 business days. Upon termination, the Client shall pay for all work completed up to the date of notice.

8. Governing Law, Jurisdiction & Official Contact

These Terms & Conditions shall be governed by and construed in accordance with the laws of the Republic of India. Any legal dispute or proceeding arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Chennai, Tamil Nadu, India.
